(“Computershare”) in one or more transactions of shares of Chevron common stock equal to the excess of (x) the aggregate number of shares of Chevron common stock to be delivered to Computershare by Chevron, over (y) the aggregate number of whole shares of Chevron common stock to be distributed to the holders of certificated or book-entry shares of Noble common stock (such excess being herein called the “Excess Shares”). As soon as practicable after the effective time of the merger, Computershare, as agent for the holders of the certificates and book entry shares representing Noble Energy common stock, shall sell the Excess Shares at then prevailing prices on the New York Stock Exchange (the “NYSE”). The sale of the Excess Shares by Computershare, as agent for the holders that would otherwise receive fractional shares, will be executed on the NYSE through one or more member firms of the NYSE and will be executed in round lots to the extent practicable.
